Understanding EIN: What It Is and Why Solopreneurs Need It

Updated: May 13

As a solopreneur, navigating the administrative requirements of running your own business can be overwhelming. One crucial element of setting up your business is obtaining an Employer Identification Number (EIN). This blog post will explain what an EIN is, why it’s important, when you should apply for one, and how CMK Law Group can assist you in this process.

What is an EIN?

An Employer Identification Number (EIN) is a unique nine-digit number assigned by the Internal Revenue Service (IRS) to identify your business for tax purposes. Think of it as a Social Security Number (SSN) for your business. It’s sometimes referred to as a Federal Tax Identification Number.

Why Do You Need an EIN?

An EIN is essential for several reasons:

  • Tax Filing: It is used to report your business's taxes and employee taxes to the IRS.

  • Bank Accounts: You often need an EIN to open a business bank account.

  • Hiring Employees: If you plan to hire employees, you must have an EIN.

  • Business Licenses: Some business licenses and permits require an EIN.

  • Protect Your SSN: Using an EIN for business purposes can help protect your SSN from being used on various forms and documents.

When Should Solopreneurs Apply for an EIN?

You should apply for an EIN as soon as you decide to start your business. Specifically, you will need an EIN if:

  • You are forming an LLC or corporation.

  • You have employees or plan to hire them.

  • You want to open a business bank account.

  • You need to apply for business licenses or permits.

  • You file employment, excise, or alcohol, tobacco, and firearms taxes.

Information Needed to Apply for an EIN

To apply for an EIN, you will need to provide:

  • Your Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN).

  • Legal name and address of the business owner.

  • Type of business entity (e.g., LLC, sole proprietorship).

  • Reason for applying (e.g., starting a new business, hiring employees).

Where and How to Apply for an EIN

You can apply for an EIN through the IRS:

  • Online: The fastest and easiest way to apply is through the IRS website.

  • By Mail: You can fill out Form SS-4 and mail it to the IRS.

  • By Fax: You can fax the completed Form SS-4 to the IRS.

  • By Phone: International applicants can apply by phone.

Should You Get an EIN Before Forming an LLC?

It is generally recommended to form your LLC first before applying for an EIN. If you obtain an EIN before forming your LLC, that EIN is tied to you as an individual and your sole proprietorship. When you subsequently form an LLC, you will need to apply for a new EIN for the LLC. The original EIN assigned to your sole proprietorship cannot be transferred to the LLC.

Managing Multiple EINs

If you have multiple EINs, such as one for a sole proprietorship and another for an LLC, it is important to keep them organized and ensure each is used appropriately for its respective entity. There are no legal limits to the number of EINs you can have, but each EIN must correspond to a separate business entity or purpose.

Abandoned EINs:

  • If you have an EIN for a business that is no longer active, that EIN remains in the IRS system but is considered inactive.

  • You cannot reuse an abandoned EIN for a new business idea. A new EIN must be obtained for each new business entity.

  • Having multiple abandoned EINs is not typically problematic, but it is crucial to keep accurate records for each and ensure they are properly managed.
